Welcome to SubTranslate. These Terms of Service ("Terms") govern your access to and use of the SubTranslate website, mobile applications, and services (collectively, the "Service"). Please read these Terms carefully before using our Service.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
1. Account Registration
To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
2. Subscription and Payment
Some features of the Service require a subscription. By subscribing to our Service, you agree to pay all fees associated with the subscription plan you choose.
Subscription fees are billed in advance on a recurring basis, depending on the subscription plan you select. You authorize us to charge the payment method you provide to us for all applicable fees.
All payments are non-refundable except as expressly provided in these Terms or as required by applicable law. You may cancel your subscription at any time, but you will not receive a refund for the current billing period.
3. User Content
Our Service allows you to upload, submit, store, send, and receive content, including videos and related materials ("User Content"). You retain all rights in, and are solely responsible for, the User Content you upload to the Service.
By uploading User Content to the Service, you grant SubTranslate a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content in connection with providing and improving the Service.
You represent and warrant that:
- You own or have the necessary rights to your User Content and the right to grant the license described above
- Your User Content does not violate the privacy rights, publicity rights, copyrights, contractual rights, intellectual property rights, or any other rights of any person or entity
- Your User Content complies with these Terms and all applicable laws and regulations
4. Prohibited Uses
You agree not to use the Service to:
- Upload, transmit, or distribute any content that is illegal, harmful, offensive, or otherwise objectionable
- Infringe or violate the intellectual property rights or any other rights of others
- Violate any applicable law or regulation
- Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service
- Impose an unreasonable or disproportionately large load on our infrastructure
- Upload or transmit viruses, malware, or other malicious code
- Use the Service for any illegal or unauthorized purpose
5. Intellectual Property Rights
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of SubTranslate and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of SubTranslate.
6. Service Availability and Modifications
We strive to provide a reliable and consistent Service, but we do not guarantee that the Service will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Service, resulting in interruptions, delays, or errors.
We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Service at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Service during any downtime or discontinuance of the Service.
7. Limitation of Liability
In no event will SubTranslate, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
Our liability is limited to the maximum extent permitted by law.
8. Disclaimer
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Use of the Service is at your own risk. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
SubTranslate does not warrant that the Service will function uninterrupted, secure, or available at any particular time or location, or that any errors or defects will be corrected.
9. Indemnification
You agree to defend, indemnify, and hold harmless SubTranslate and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:
- Your use and access of the Service
- Your violation of any term of these Terms
- Your violation of any third-party right, including without limitation any copyright, property, or privacy right
- Any claim that your User Content caused damage to a third party
10. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.
11. Governing Law
These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
12. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
